3. Client Responsibilities

- Participate in project discussions and approvals
- Respond in a timely manner to avoid delays
- Make payments in accordance with agreed terms
Delays in communication may impact delivery timelines.
4. Payments & Subscriptions
- Fees are agreed per project or on a recurring basis
- Subscription services are billed monthly unless otherwise agreed
- Payments are processed via PayFast
Payments are due within the agreed billing period as specified in the invoice or agreement.
We reserve the right to:
- Suspend services for overdue accounts
- Charge interest on late payments where applicable
- Terminate services after continued non-payment
All payments made are non-refundable unless otherwise agreed in writing.
5. Intellectual Property
Unless otherwise agreed:
- Final delivered systems are licensed to the client
- We retain ownership of underlying frameworks, tools, and reusable components
- We may reuse non-confidential components across projects
6. Support & Maintenance
Ongoing support may be provided under:
- Subscription agreements
- Separate maintenance contracts
The scope of support will be defined in the relevant agreement.
7. User Accounts
Clients are responsible for maintaining the confidentiality of their account credentials.
We are not liable for any loss or damage arising from unauthorised access due to failure to secure login details.
8. Third-Party Services
We may integrate third-party services, including Firebase, Google Cloud, and PayFast.
We are not responsible for:
- Downtime or failures caused by third-party services
- Changes to third-party systems or APIs
9. Warranty Disclaimer
All services and systems are provided "as is" without warranties of any kind, whether express or implied.
We do not guarantee that systems will be error-free, uninterrupted, or meet all expectations.
10. Limitation of Liability
We are not liable for:
- Indirect or consequential damages
- Loss of business, revenue, or data
- Issues caused by third-party systems
Our total liability is limited to the fees paid for the relevant service.
11. Confidentiality
Both parties agree to keep confidential information private and not disclose it without consent, unless required by law.
12. Termination
We reserve the right to:
- Suspend or terminate services for non-payment
- Terminate agreements where terms are breached
Clients may terminate services with written notice, subject to agreed contractual terms.
13. Changes to Terms
We may update these Terms from time to time. Continued use of services constitutes acceptance of updated terms.
14. Governing Law
These Terms are governed by the laws of South Africa.
